General:
Any trade agreement entered into by RN Solutions ApS, CVR 35810838, is subject to these terms and conditions of sale and delivery. No agreement or obligation that deviates from these will be accepted unless it is expressly and in writing confirmed by RN Solutions ApS. These terms and conditions of sale and delivery are considered accepted upon the buyer’s placement of an order.
Offers and Orders:
RN Solutions ApS’s offers are based on the prices applicable at the time of the offer for raw materials, auxiliary materials, labor costs, as well as freight, insurance, customs duties, exchange rates, etc. RN Solutions reserves the right to adjust prices due to subsequent price increases beyond its control. Deliveries include only the parts, work, and services explicitly stated in the offer or order confirmation.
Offers are valid for 30 days from the date, unless otherwise specified. Prices exclude installation and delivery unless stated otherwise.
Payment Options:
Payment on RN Solutions' webshop can be made with Mastercard, Visa, Dankort, Apple Pay, or MobilePay Online (DK).
As a B2B customer with a VAT number, it is possible to apply for invoice payment. The request must be approved by RN Solutions, and a response will be provided via email.
Payment Terms for Products Ordered in the Webshop:
The amount will be deducted from the customer’s account upon dispatch of the goods, unless otherwise specified.
General Payment Terms, B2B:
Standard terms for goods delivered in Denmark are 7 days net. For international orders: prepayment, unless otherwise agreed.
For payments made after the due date, a 1.5% interest will be added per commenced month.
Descriptions and Drawings:
The illustrations, capacity specifications, measurements, weights, dimensions, prices, technical, and other data provided in RN Solutions ApS’s or its suppliers' sales materials are approximate and only binding if the agreement explicitly refers to them. RN Solutions reserves the right to make changes in execution, etc., without prior notice. All drawings and technical documents concerning products provided to the buyer remain the property of RN Solutions and must be returned if a delivery agreement is not entered into. Such material may not be used, copied, reproduced, shared with third parties, or disclosed in any other way without RN Solutions' written permission.
Product Changes:
RN Solutions ApS reserves the right to make ongoing product and design changes relative to the provided drawings, etc., as long as the sold product meets the agreed standards, ensuring that such changes do not alter functionality or cause any disadvantage to the buyer.
Buyer’s Obligations:
Unless otherwise agreed in writing, the delivery includes only the product sold by RN Solutions ApS. If other work, such as the setup or modification of electrical, water, and oil installations, or any other construction work such as carpentry and masonry, or any secondary work, is necessary for the buyer’s use of the delivery, such work, including any drawings, shall be carried out by the buyer at their own expense and risk. All expenses for these measures, including material costs, are not the responsibility of RN Solutions ApS. RN Solutions ApS bears no responsibility for any requirements set by authorities, such as environmental, fire safety, or building regulations, or any other legislation not specifically related to RN Solutions ApS's product. It is the buyer’s responsibility to obtain, finance, and bear the responsibility for any necessary permits from authorities or others in relation to the installation, setup, and operation of the equipment.
Any electrical diagrams, foundation, construction, and layout drawings provided by RN Solutions ApS are only for guidance and are not to be regarded as working drawings.
Installation Work:
If RN Solutions ApS is to handle the installation of the delivery in whole or in part, a written agreement will be made detailing the obligations of both RN Solutions and the buyer, including payment terms. A specific start date will be set for RN Solutions ApS to begin installation work, as well as a date by which the buyer’s obligations must be completed.
If delays or deficiencies in the buyer’s obligations result in increased costs for RN Solutions beyond what was anticipated at the time of order confirmation, these costs will be payable immediately upon invoice. Additionally, the buyer is required to pay the agreed installments at the original due dates.
Delivery Time for Products Ordered in the Webshop:
For orders placed before 2 PM, delivery will occur on the next business day within Denmark. RN Solutions is not responsible for out-of-stock items or delays related to transportation. For other European countries, delivery takes 3-10 business days.
Delivery and Shipping in General:
The following delivery options are generally used, depending on the shipment's size and the recipient's address or country: GLS, UPS, DHL, and NTG.
The agreed delivery times assume that RN Solutions ApS has received all necessary information, drawings, etc., required for order fulfillment in a timely manner. Unless otherwise agreed, the risk transfers to the buyer ex works from RN Solutions' place of business. Shipment is at the buyer's expense and risk, and the buyer is responsible for obtaining any necessary transport insurance unless otherwise agreed upon in each specific case.
All stated delivery times are estimates, and any delay does not entitle the buyer to cancel an order. RN Solutions reserves the right against war, fire, strike, lock-out, transportation obstacles, and force majeure. Other factors such as labor shortages, delays from subcontractors, or similar events that prevent RN Solutions from fulfilling the order or cause delays release RN Solutions from delivery obligations and liability for damages. No compensation of any kind will be granted in the event of delayed delivery unless this is expressly agreed in writing by RN Solutions ApS for each specific case. RN Solutions ApS reserves the right to make partial deliveries.
Ownership:
The delivered goods and services remain the property of RN Solutions ApS until payment for the entire delivery has been completed.
Returns:
Items are only accepted for return by prior agreement and within 30 days from the delivery date, for new and undamaged goods, with a minimum deduction of 15% of the invoice price and return shipping costs.
Complaints and Dispute Resolution:
Complaints due to transport damage must be made no later than 8 days after receipt of the goods.
RN Solutions ApS reserves the right to remedy or replace defective goods. Defective parts shall be sent to RN Solutions ApS upon request and at RN Solutions' expense. Replacement parts will be delivered freight-free by RN Solutions ApS. Beyond supplying replacement parts, RN Solutions assumes no additional obligations regarding the exchange. For LED fixtures, RN Solutions ApS grants buyers a 24-month warranty (unless otherwise specified) from the delivery date. The warranty does not cover defects caused by wear and tear, improper or careless handling, overloading, or damage resulting from incorrect installation or non-compliance with operating instructions. Apart from the aforementioned, RN Solutions ApS assumes no liability for detected defects and cannot be held responsible for property damage, production losses, operational losses, or any other losses resulting from the defect or the inconvenience associated with its remedy.

Supplier Liability:
The Product Liability Act applies to personal injury proven to be solely caused by faulty design, production, or installation performed by RN Solutions ApS. RN Solutions ApS’s products must not be resold for non-commercial use without specific agreement in each case. Compensation for property damage is granted only if it can be proven that the damage was caused by gross negligence on the part of RN Solutions ApS in design, production, control of subcontractors, or installation, provided that the installation was carried out by RN Solutions. RN Solutions' liability is limited to direct property damage and does not cover lost earnings, operational losses, or other indirect losses. For damages caused by equipment that has been expanded, modified, or repurposed for use other than what it was originally intended for, RN Solutions is only liable if the modification was performed or approved by RN Solutions. If the buyer or anyone to whom the buyer resells the product has obtained insurance, RN Solutions' liability is waived entirely. To the extent that RN Solutions might be held liable for product damage towards third parties, the buyer is obligated to indemnify RN Solutions to the same extent as RN Solutions' liability is limited. If a third party makes a claim against either party for liability, that party must immediately notify the other. RN Solutions and the buyer are mutually obligated to submit to the jurisdiction of the court handling claims arising from damages allegedly caused by the delivery.
Final Provisions:
The legal venue for any dispute arising in connection with delivery and payment is the domicile of RN Solutions ApS. Should one or more of the above provisions be invalid or overturned by the courts, it does not affect the validity of the other provisions in these terms and conditions of sale and delivery for RN Solutions ApS.
