General:
Any trade agreement entered into by RN Solutions ApS, CVR 35810838, is subject to these present sales and delivery terms. No agreement or obligation that deviates from this will be accepted unless expressly and in writing confirmed by RN Solutions ApS. These sales and delivery conditions are considered accepted upon the buyer's order placement.
Offers and Orders:
RN Solutions ApS's offers are based on the prices of raw materials, auxiliary materials, labor, shipping, insurances, customs tariffs and exchange rates etc. prevailing at the time of the offer. Reservations are made for subsequent price increases, which are beyond RN Solutions' control. The deliveries only include the parts, works, and services expressly mentioned in the offer or order confirmation.
Offers are valid for 30 days from the date, unless otherwise stated. Price excludes installation and delivery, unless otherwise stated.
Payment options:
RN Solutions’ webshop accepts Visa, Mastercard, Paypal, and bank transfer.
Payment terms for goods ordered in the webshop:
The amount is deducted from the customer's account when the goods are dispatched, unless otherwise stated.
Other payment terms:
Normal terms for goods delivered in Denmark are 7 days net. Abroad: prepayment, unless otherwise agreed.
For payments made after the due date, an interest of 1.5% per commenced month is added.
Description and drawings:
The illustrations, indications of capacities, dimensions, weights, prices, technical and other data stated in RN Solutions ApS's or its suppliers' sales materials are approximate and only binding if the agreement expressly refers to them. RN Solutions reserves the right to make changes in execution, etc. without prior notice. All drawings and technical documents about the products that are handed over to the buyer remain the property of RN Solutions and must be returned if a delivery agreement is not entered into. Such material may not be used by the buyer, copied, reproduced, transferred to a third party, or otherwise brought to their knowledge without RN Solutions' written permission.
Product changes:
RN Solutions ApS reserves the right to make ongoing product and design changes in relation to issued drawing material, etc., provided that the sold product meets the agreed standards, etc., so that occurring changes do not cause any altered functionality or other inconvenience to the buyer.
Buyer's services:
Unless otherwise agreed in writing, the delivery exclusively includes the product sold by RN Solutions ApS. If other work, such as establishment or changes of installations for electricity, water, oil and building work of any kind, such as carpentry and brickwork or any other form of secondary work, is necessary for the buyer's use of the delivery, such work, including drawing work, is carried out by the buyer and at their expense and risk. All costs of measures as mentioned, including material costs, are not the concern of RN Solutions ApS. RN Solutions ApS is not responsible for claims made by authorities, e.g. under environmental legislation, fire legislation, building legislation, or any other legislation that does not specifically relate to RN Solutions ApS's product. It is therefore the buyer's responsibility to obtain, pay for, and take responsibility for any necessary permits from authorities and others in connection with the installation, arrangement, and operation of the system.
Any electrical diagrams, foundation, construction, and layout drawings made by RN Solutions ApS are only for guidance and should not be considered as working drawings.
Installation work:
If RN Solutions ApS is to undertake the installation of the delivery either partially or in its entirety, a written agreement detailing RN Solutions' and the buyer's obligations, including payment terms, will be established. Specific dates will be set for both the start of installation work by RN Solutions ApS and the completion of the buyer's obligations.
If delays or deficiencies relating to the buyer's obligations cause RN Solutions to incur additional costs compared to the estimate at the time of order confirmation, such costs are to be paid cash on delivery. The buyer is obligated to pay the agreed installments at the originally set due date.
Delivery time for goods ordered in the Webshop:
If ordered before 2pm delivery will happen the following work day in Denmark. RN Solutions is not accountable for any sold-out items or delays in transport. Delivery in the rest of Europe is 3-10 working days.
Delivery and shipping otherwise:
Agreed delivery times assume that RN Solutions ApS has received all necessary information, drawings, etc., needed for the order's execution in a timely manner. The risk transfers to the buyer, unless otherwise agreed, ex works RN Solutions' place of business. Shipping is at the buyer's expense and risk, and the buyer is obligated to take out the necessary transport insurance, unless otherwise agreed in individual cases.
All given delivery times are estimates, and any delay does not entitle the buyer to cancel an order. There is a caveat for war, fire, strikes, lock-outs, transport obstacles, and force majeure. Other conditions such as labor shortage, delay from subcontractors, or similar events that prevent RN Solutions from executing the order or cause delays, exempt RN Solutions from the obligation to deliver and from liability. No compensation of any kind is provided in case of delayed delivery, unless this is explicitly accepted in writing by RN Solutions ApS in the specific case. RN Solutions ApS has the right to make partial deliveries.
Ownership:
The delivered goods and services remain the property of RN Solutions ApS until payment for the entire delivery has been made.
Return of goods:
Goods are only accepted for return after prior agreement and only within 30 days of the delivery date. For new and undamaged goods, a minimum of 15% of the invoice price and return costs will be deducted.
Claims:
Claims due to transport damage must be made no later than 8 days after receipt of goods.
RN Solutions ApS has the right to remedy or redeliver faulty goods. Defective parts are sent upon request and at RN Solutions' expense to RN Solutions ApS. Replacement parts are delivered free of charge by RN Solutions ApS. Beyond the delivery of replacement parts, RN Solutions undertakes no obligations in connection with the exchange. For LED fixtures, RN Solutions ApS grants the buyer a 24-month warranty (unless otherwise stated), calculated from the delivery day. Excluded from the warranty are defects due to wear and tear, inappropriate or careless handling, and overload, as well as damages caused by incorrect installation or failure to comply with operating instructions. Apart from the aforementioned, RN Solutions ApS has no liability for compensation as a result of identified deficiencies and, as such, cannot be held responsible for property damage, production loss, operational loss, or any other loss that may arise due to the deficiency and the inconveniences arising in connection with the remediation of the deficiency.
Supplier liability:
For personal injury, proven solely caused by incorrect design, production, or assembly by RN Solutions ApS, the product liability law applies. RN Solutions ApS's products may not be resold for non-commercial use without a special agreement in each case. For property damage, compensation is only provided if it is proven that the damage was caused by gross negligence by RN Solutions ApS in design, production, control of subcontractors, or assembly, provided that the assembly was done by RN Solutions. RN Solutions' liability covers only direct property damage and not lost earnings, operating losses, or other indirect losses. For damage caused by a system that is expanded, rebuilt, or put to other use than the one it was originally delivered for, RN Solutions is only liable if the change was made by or approved by RN Solutions. To the extent that the buyer or the person to whom the buyer has transferred the sold item has taken out insurance, any liability for RN Solutions ceases. To the extent that RN Solutions may be subjected to product liability towards a third party, the buyer is obligated to indemnify RN Solutions to the same extent that RN Solutions' liability is limited. If a third party raises a claim for compensation against one of the parties, this party must immediately inform the other. RN Solutions and the buyer are mutually obligated to allow themselves to be sued at the court handling compensation claims raised against one of them based on an alleged damage caused by the delivery.
Final provisions:
The venue for any dispute arising in connection with delivery and payment is the domicile of RN Solutions ApS. If one or more of the above provisions turn out to be invalid or are invalidated by the courts, this does not affect the validity of the remaining provisions in the above sales and delivery conditions for RN Solutions ApS.
